CLUB RULES

1. Name
- The name of the Club shall be Reed's.
2. Objects
- The object of the Club shall be to provide recreational facilities for Members and their guests at the Club's premises.
3. Constitution
- 3.1 The Club is a proprietary club, the proprietor being Highben Ltd, whose registered office is at Riverside House, 11-12 Riverside Road, Norwich NR1 1SQ.
- 3.2 The Club premises shall be located at 27-28 Tombland, Norwich, or such other location as the Proprietor may determine from time to time.
4. Officers
- 4.1 The Officers of the Club shall be those directors and any administrative officers that the Proprietor may appoint.
- 4.2 Officers nominated will be displayed above the door of 27 Tombland for the purposes of the grant of a Justices Licence.
5. General Committee
- 5.1 The Officers shall constitute a general committee.
- 5.2 Any 3 officers shall form a quorum for the purposes of General Committee meetings.
- 5.3 The General Committee should meet as often as may be necessary to ensure the proper conduct of the affairs of the Club.
- 5.4 The General Committee shall exercise the powers given to it by these Rules and such other powers of management as it may from time to time undertake at the request of the Proprietor.
6. Sub-committee
- The General Committee shall have the power to appoint sub-committee consisting of Officers and/or Members as it may deem necessary or expedient for the object of furthering any particular activity of the Members and the General Committee may depute or refer to any such sub-committees such powers and duties of the General Committee (except for any relating to the expulsion of Members) as it may determine subject to the approval of the Proprietor and shall conduct its business in accordance with the directions of the General Committee
7. Membership
- 7.1 Every member shall be at least 26 years of age.
- 7.2 The annual Membership subscription shall be such sum as the Proprietor shall from time to time determine.
- 7.3 Subscriptions shall be due on the 31st March each year.
- 7.4 Proposals for Membership must be on the forms provided for that purpose and must be signed by the candidate.
- 7.5 Proposals shall state the name, address and profession of the candidate, and no candidate shall be accepted for Membership until at least 2 days after receipt of the relevant proposal for Membership.
- 7.6 The acceptance of Members shall be at the sole discretion of the Proprietor.
- 7.7 When an accepted candidate has paid his/her first annual subscription, he/she shall be a Member entitled to all the privileges of Membership and shall be deemed to have agreed to be bound by these Rules.
- 7.8 A list of the names and addresses of all the Members shall be kept on the Club premises and produced 'on demand for inspection by a Police Officer.
- 7.9 The Proprietor may terminate the Membership of any Member whose subscription is more than one month in arrears. His/her name shall be removed from the list of registered Members and he shall immediately cease to be a Member and forfeit all rights of Membership.
- 7.10 The appointment and dismissal of all Club servants shall be vested solely in the Proprietor. Any Member who shall interfere with such appointment or who shall incite any Club servant to leave the employment of the Club shall at the discretion of the General Committee be expelled.
- 7.11 Each Member shall inform the Secretary of his/her address and promptly of any changes thereto. Notices may be given to Members either by prepaid letter addressed to the relevant Member at the last address he/she furnished to the Secretary or by prominently displaying such notice to Members on a notice board within the Club.
8. Rights and Liabilities of Members
- Every Member shall (subject to these Rules and any bye-laws made in accordance with Rule 11 for the time being in force) be entitled to use and enjoy the Club premises and things provided by the Proprietor for the use of the Club and on such terms and conditions as to payment as the Proprietor may from time to time stipulate.
9. Guests
- 9.1 Members may invite friends as their guests, up to a maximum of two.
- 9.2 Members must at all times accompany guests introduced by them during the period of their stay in the Club and shall be responsible for their conduct.
- 9.3 Former Members who have been expelled shall not be admitted as guests.
- 9.4 The number of guests per Member is at the sole discretion of the Proprietor, and may change from time to time.
- 9.5 Membership cards remain the property of the Club and as such are non-transferable. Membership cards are valid only for the agreed period.
10. Bye-laws
- The General Committee may from time to time with the approval of the Proprietor make, vary and revoke bye-laws (not inconsistent with these Rules) for the regulation of the internal affairs of the Club and the conduct of Members. Until revoked all bye-laws shall be binding on the Members.
11. Conduct of Members
- 11.1 A member may resign his/her Membership at any time by letter delivered to the Membership administration office of the Club.
- 11.2 The Proprietor may expel from the Club any Member or guest whose conduct is such as might in the sole opinion of the Proprietor be injurious to the character or interests of the Club.
- 11.3 A Member expelled shall forfeit all the privileges or Membership without claim for any refund of subscription.
- 11.4 No illegal betting or gaming, drunkenness, bad language or other misconduct shall be permitted on the Club premises.
- 11.5 Members and their guests shall at all times dress smartly on Club premises and follow the Club dress code as stipulated by the General Committee. Trainers, T-shirts and blue jeans are not acceptable.
- 11.6 Except with the consent of the Proprietor no Member shall give the address of the Club in any advertisement or use the Club's address for any business purposes whatsoever.
- 11.7 The Management shall have the power by their duly authorised officer to refuse admission to or require to leave any Member or guest if in his sole opinion it is in the interests of the Club.
12. Intoxicating Liquor
- The sale or supply of intoxicating liquor in the Club shall be permitted within the general licensing hours in force within the licensing district in which the Club premises are situated (subject to any extension from time to time permitted to the Club) and the bar opening hours shall be fixed by the Proprietor. Intoxicating liquor shall be sold only to Members and their guests in accordance with the terms and conditions imposed by the justices licence granted in respect of the Club's premises.
13. Hours of Opening
- Between the hours of 11am and 2am the Club shall be opened to receive Members and their guests, but these hours may be lengthened or shortened at the discretion of the Proprietor.
14. Responsibility
- The Club, the Proprietor and the General Committee cannot in any circumstances be responsible to Members or their guests for:
- Loss or damage to any property of any kind while it is in or about the Club, or
- Loss or damage to vehicles parked, collected or driven by staff or agents of the Club, or to the contents or accessories of any such vehicles.
15. Capacity
- 15.1 Capacity is that figured deemed to be full in accordance with local authority guidelines, in particular those laid down by the Fire Authority.
- 15.2 Where capacity is reached the Management will be required by the Proprietor to refuse admission, regardless of Membership status.
- 15.3 Restaurant facilities will operate on a bookings only basis.
16. Rule Changes
- These Rules may be changed, varied or revoked by the Proprietor and any such change, variation or revocation shall be deemed to have been brought to the notice of Members provided a copy thereof is prominently displayed to Members within the Club.
